These Terms of Service ("Terms") govern your access to and use of RipeX, a software-as-a-service platform provided by Jasper Tech Labs ("we", "us", "our"). By creating an account, subscribing to a plan, or otherwise using RipeX, you ("you", "the Customer") agree to these Terms.
1. Acceptance of these Terms
By accessing or using RipeX you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you are entering into these Terms on behalf of a business, you represent that you are authorised to bind that business. If you do not agree, you must not use the service.
2. The service
RipeX is a unified commerce and operations platform that may include, depending on your plan, a modern online store, a Tax-ready point-of-sale (POS) and billing counter, and enterprise resource planning (ERP) tools for inventory, purchasing, customers, and reporting. We provide the service on a hosted, subscription basis. We may add, modify, or improve features over time to keep the platform useful and secure.
3. Accounts & eligibility
To use RipeX you must register for an account and provide accurate, current and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorised use. You must be at least 18 years old and legally able to enter into a contract to use RipeX for business purposes.
4. Acceptable use
You agree to use RipeX only for lawful business purposes and in compliance with all applicable laws. You must not:
- use the service to store or transmit unlawful, infringing, or fraudulent content;
- attempt to gain unauthorised access to the platform, other customers’ data, or our systems;
- reverse engineer, decompile, or attempt to derive the source code of the software, except to the extent permitted by law;
- resell, sublicense, or provide the service to third parties except as expressly permitted;
- interfere with or disrupt the integrity or performance of the service, including by introducing malware or overloading the infrastructure.
5. Subscriptions, billing & taxes
RipeX is offered on a subscription basis. Fees, the billing cycle, and the features included are as set out in the plan you select or as agreed with us in writing. Unless stated otherwise, fees are exclusive of applicable taxes, and Goods and Services Tax (GST) will be added where required. Subscriptions renew automatically for successive periods unless cancelled in accordance with our Refund & Cancellation Policy. Late or failed payments may result in suspension of the service.
6. Customer data
As between you and us, you own the data you enter into RipeX, including your catalogue, orders, invoices, and customer records ("Customer Data"). You grant us a limited licence to host, process, and transmit Customer Data solely to provide and support the service. Our handling of personal data is described in our Privacy Policy and, where applicable, our GDPR statement.
7. Intellectual property
RipeX, including the software, design, documentation, and the "RipeX" name and logo, is owned by Jasper Tech Labs and protected by intellectual property laws. These Terms grant you a non-exclusive, non-transferable right to use the service during your subscription; no other rights are granted. See our Copyright & IP notice for details.
8. Third-party services
RipeX may interoperate with third-party services (for example payment gateways, messaging, or delivery providers). Your use of those services is governed by their own terms, and we are not responsible for third-party services beyond our reasonable control.
9. Warranties & disclaimers
We provide the service with reasonable skill and care and aim for high availability. However, except as expressly stated, RipeX is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all other warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free.
10. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, or data. Our total aggregate liability arising out of or relating to the service will not exceed the fees paid by you to us for the service in the twelve (12) months preceding the event giving rise to the claim.
11. Indemnity
You agree to indemnify and hold harmless Jasper Tech Labs against claims, damages, and reasonable costs arising from your misuse of the service, your Customer Data, or your breach of these Terms, to the extent attributable to you.
12. Suspension & termination
You may cancel your subscription as described in our Refund & Cancellation Policy. We may suspend or terminate access if you materially breach these Terms, fail to pay fees when due, or use the service in a way that risks harm to the platform or other customers. On termination, your right to use the service ends; we will make Customer Data available for export for a reasonable period before deletion in line with our retention practices.
13. Changes to these Terms
We may update these Terms from time to time to reflect changes to the service, the law, or our practices. When we make material changes, we will update the "Last updated" date and, where appropriate, notify you. Continued use of RipeX after changes take effect constitutes acceptance of the revised Terms.
14. Governing law & jurisdiction
These Terms are governed by the laws of India. The courts of India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the service, subject to any mandatory rights you may have under applicable law.
