These Terms & Conditions ("Terms") govern your access to and use of the RipeX platform, websites, mobile applications, and related services (the "Service"), operated by Jasper Tech Labs ("RipeX", "we", "us", "our").
By creating an account, subscribing, or otherwise using the Service, you ("you", "Customer") agree to these Terms. If you do not agree, do not use the Service.
RipeX is an AI-assisted, multi-tenant business management platform providing tools such as point-of-sale and billing, inventory and catalog management, GST-compliant invoicing, customer and vendor ledgers, reporting, and communication features (e.g., email / WhatsApp). Features vary by plan and may change over time.
You must be at least 18 years old and capable of entering into a binding contract, and, where you act for a business, authorised to bind that business.
You are responsible for the accuracy of registration information, for all activity under your account, and for keeping login credentials confidential.
You must notify us promptly of any unauthorised use of your account. We are not liable for losses arising from your failure to safeguard credentials.
Paid plans are billed in advance on a recurring basis and renew automatically unless cancelled, as described in our Refund & Cancellation Policy.
All fees are exclusive of taxes; you are responsible for applicable taxes, including GST, except for taxes on our net income.
We may revise pricing; changes apply from your next billing cycle after reasonable notice.
Use the Service unlawfully, or to store or transmit unlawful, infringing, or harmful content;
Reverse engineer, decompile, copy, resell, sublicense, or create derivative works from the Service except as permitted by law;
Probe, scan, or breach security, introduce malware, or place unreasonable load on our infrastructure;
Use the Service to send unlawful or unsolicited communications, or in violation of any third-party platform rules (including WhatsApp and email-provider policies);
Misuse AI-assisted features to generate unlawful, misleading, or infringing output.
We may suspend or limit access to protect the Service, our users, or third parties, or to comply with law.
As between the parties, you own the data you and your users submit ("Customer Data"). You grant us a licence to host, process, and transmit Customer Data solely to provide and support the Service.
You are responsible for the legality of Customer Data and for having all necessary rights and consents, including for any personal data of your own customers, staff, or vendors.
Our handling of personal data is described in the Privacy Policy.
The Service, including all software, interfaces, designs, text, graphics, logos, the "RipeX" name and brand, and all related intellectual property, is and remains the exclusive property of Jasper Tech Labs and its licensors. Except for the limited right to use the Service under these Terms, no rights are granted to you. Any feedback you provide may be used by us without restriction or obligation.
The Service may integrate with or link to third-party services (e.g., payment gateways, messaging providers, cloud infrastructure). We are not responsible for third-party services, and your use of them is governed by their terms. Availability of an integration does not imply endorsement.
The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that it will meet your requirements, or that data will always be accurate or available. You are responsible for maintaining your own backups and for verifying tax, accounting, and compliance outputs before relying on them.
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business, arising out of or relating to the Service, even if advised of the possibility of such damages.
Our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the total fees actually paid by you to us for the Service in the 3 months immediately preceding the event giving rise to the claim. These limitations apply regardless of the theory of liability and form an essential basis of the bargain.
You will defend, indemnify, and hold harmless Jasper Tech Labs and its directors, officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your Customer Data; (b) your use of the Service in breach of these Terms or applicable law; or (c) your infringement of any third-party rights.
The Service may integrate with or link to third-party services (e.g., payment gateways, messaging providers, cloud infrastructure). We are not responsible for third-party services, and your use of them is governed by their terms. Availability of an integration does not imply endorsement.
Each party may access the other’s confidential information and will protect it using reasonable care and use it only to perform under these Terms, excluding information that is public, independently developed, or lawfully obtained without a duty of confidence.
We may update these Terms from time to time. Material changes will be notified by reasonable means. Continued use after changes take effect constitutes acceptance.
These Terms are governed by the laws of India. Subject to the arbitration provision below, the courts at Mumbai, Maharashtra will have exclusive jurisdiction. Any dispute arising out of or in connection with these Terms will be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by us; the seat and venue of arbitration will be Mumbai, and the proceedings will be conducted in English.
